TERMS OF USE

A fair and trusted marketplace for everyone.

These Terms of Use (“Terms”) govern your access to and use of ansago.com and the services provided by ANSAGO LLC (“ANSAGO,” “we,” “us,” or “our”). By accessing, registering for, or using the Platform, you agree to these Terms.
ANSAGO operates an online marketplace designed to connect independent buyers and sellers of surplus construction materials, equipment, tools, and related items. Please read these Terms carefully.

1. Acceptance of Terms

By accessing or using ansago.com and related ANSAGO services (collectively, the “Platform”), you agree to be bound by these Terms, our Privacy Policy, Marketplace Policies, and any additional policies or terms displayed on the Platform.
If you do not agree, you may not use the Platform.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use ANSAGO.
If you use ANSAGO on behalf of a company, employer, organization, property owner, or other entity, you represent and warrant that you have authority to act on behalf of and bind that entity where applicable.

3. Account Registration and Security

Certain Platform features require an account. You agree to provide accurate, complete, and current information and to keep your information updated.
You are responsible for safeguarding your login credentials and for activity occurring through your account. You may not impersonate another person or entity or create an account using information you are not authorized to use.
You must promptly notify ANSAGO if you believe your account has been accessed or used without authorization.

4. ANSAGO's Role as a Marketplace

ANSAGO provides a marketplace platform that allows independent users to discover, list, buy, sell, donate, transfer, or otherwise transact in materials and other permitted items.
Unless expressly stated otherwise, ANSAGO is not the buyer, seller, owner, manufacturer, distributor, dealer, broker, contractor, employer, agent, partner, or representative of any user.
ANSAGO does not take title to or ownership of materials listed by users and has no ownership interest in transactions between users.
A transaction conducted through or resulting from use of the Platform is between the applicable buyer and seller.
ANSAGO does not control and does not guarantee the existence, ownership, quality, quantity, authenticity, legality, condition, safety, availability, code compliance, merchantability, fitness for a particular purpose, or suitability of any item listed on the Platform.

5. Listings and Seller Responsibilities

Sellers are solely responsible for their listings and materials.
By creating or publishing a listing, the seller represents and warrants that:
Sellers may not intentionally conceal defects or provide materially false or misleading information.
ANSAGO may remove, modify, restrict, or reject listings that we reasonably believe violate these Terms or our Marketplace Policies.
Removal of a listing does not mean ANSAGO has inspected or verified other listings.

6. Prohibited, Unsafe, Recalled, and Restricted Materials

Users may not list items whose sale, possession, transportation, or transfer is prohibited by applicable law or ANSAGO’s Marketplace Policies.
Sellers are responsible for determining whether an item is subject to recalls, expiration requirements, hazardous-material restrictions, licensing requirements, transportation requirements, manufacturer restrictions, or other legal or safety requirements.
ANSAGO may remove any material or listing that it reasonably believes presents a legal, safety, fraud, or Platform risk.
ANSAGO’s failure to remove a listing does not constitute approval, certification, inspection, or representation that the material is legal or safe.

7. Buyer Responsibility and Inspection

Buyers are responsible for evaluating materials before purchasing, accepting, installing, reselling, or using them.
Buyers should conduct whatever inspection, testing, measurement, verification, or professional evaluation they consider appropriate.
ANSAGO does not determine whether materials comply with building codes, engineering specifications, plans, manufacturer requirements, warranties, permitting requirements, safety standards, or requirements applicable to a particular project or jurisdiction.
The buyer is solely responsible for determining whether a material is appropriate and legally permitted for its intended application.

8. Transactions

Users are responsible for determining and agreeing to the terms of their transactions, including price, taxes, payment, inspection, pickup, loading, transportation, delivery, returns, and refunds, except where ANSAGO expressly provides a specific service governing those matters.
Unless otherwise agreed between the buyer and seller or required by applicable law, transactions between users are considered final once completed.
ANSAGO is not responsible for enforcing private agreements between users.

9. Payments and Third-Party Payment Services

ANSAGO may offer or integrate payment-processing, transaction-protection, or other payment-related services.
Additional terms may apply to those services.
Payment processing may be performed by independent third-party providers. ANSAGO does not control the operation of independent payment providers and is not responsible for their acts, omissions, outages, holds, delays, chargebacks, account restrictions, or other actions except to the extent required by applicable law.
ANSAGO may charge fees for certain Platform services. Applicable fees will be disclosed before the user purchases or uses the applicable paid service.

10. Off-Platform Transactions

Users may elect to conduct certain transactions independently where permitted by ANSAGO.
ANSAGO does not control and assumes no responsibility for payments, refunds, representations, agreements, communications, fraud, losses, or disputes arising from transactions conducted outside ANSAGO’s payment or transaction services.
Users engaging in independent transactions do so at their own risk.

11. Pickup, Loading, Delivery, and Transportation

Buyers and sellers are responsible for arranging pickup, loading, unloading, delivery, transportation, equipment, labor, and access unless ANSAGO expressly agrees in writing to provide a particular service.
Construction materials and equipment may be heavy, sharp, unstable, hazardous, difficult to move, or otherwise capable of causing bodily injury, death, or property damage.
Users assume the risks associated with inspecting, entering property for, handling, loading, unloading, transporting, storing, installing, or using materials obtained through the Platform.
To the fullest extent permitted by law, ANSAGO is not responsible for accidents, bodily injuries, death, property damage, vehicle damage, theft, trespassing, loading incidents, transportation incidents, or other losses arising from pickup, handling, transportation, delivery, installation, or use of materials transacted between users.

12. User Disputes

Buyers and sellers are responsible for resolving disputes arising from their transactions.
ANSAGO may, but is not obligated to, provide communication tools, information, or voluntary assistance intended to help users resolve a dispute.
Providing such assistance does not make ANSAGO a party to the transaction and does not create an obligation for ANSAGO to resolve, investigate, arbitrate, reimburse, or compensate users for disputes.

13. User Conduct

Users must use ANSAGO lawfully and professionally.
You may not:
ANSAGO may investigate suspected violations and cooperate with lawful requests from government or law-enforcement authorities.

14. User Content

You retain ownership of content you submit to ANSAGO.
By submitting listings, photographs, descriptions, logos, or other content, you grant ANSAGO a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, distribute, and use that content as reasonably necessary to operate, promote, secure, and improve the Platform and your listings.
You represent that you have the necessary rights and permissions to submit such content.

15. No Verification or Endorsement

ANSAGO may use account information, moderation tools, user reports, automated systems, or other measures intended to improve marketplace trust and safety.
These measures do not constitute a guarantee, endorsement, certification, background check, inspection, or warranty regarding any user, company, listing, or material.
Users remain responsible for conducting their own due diligence.

16. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
ANSAGO DISCLAIMS WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY TO THE EXTENT PERMITTED BY LAW.
ANSAGO DOES NOT WARRANT OR GUARANTEE ANY USER, LISTING, MATERIAL, TRANSACTION, PAYMENT, PICKUP, DELIVERY, OR RESULT FROM USING THE PLATFORM.
TRANSACTION, PAYMENT, PICKUP, DELIVERY, OR RESULT FROM USING THE PLATFORM. ANSAGO DOES NOT INSPECT, TEST, CERTIFY, AUTHENTICATE, WARRANT, OR GUARANTEE MATERIALS LISTED BY USERS.

17. Assumption of Risk

You acknowledge that transactions involving construction materials, equipment, tools, pickup locations, transportation, and interactions with other users involve inherent risks.
You voluntarily assume the risks associated with your use of the Platform and your interactions and transactions with other users, except to the extent liability cannot lawfully be excluded or limited.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANSAGO LLC AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, PROPERTY DAMAGE, OR LOSS OF BUSINESS OPPORTUNITY ARISING OUT OF OR RELATING TO THE PLATFORM OR A TRANSACTION BETWEEN USERS.
TO THE FULLEST EXTENT PERMITTED BY LAW, ANSAGO SHALL NOT BE LIABLE FOR THE ACTS OR OMISSIONS OF USERS; THE CONDITION, OWNERSHIP, LEGALITY, SAFETY, QUALITY, OR SUITABILITY OF MATERIALS; USER DISPUTES; FRAUD; THEFT; PAYMENTS; PICKUP; LOADING; TRANSPORTATION; DELIVERY; INSTALLATION; OR USE OF MATERIALS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANSAGO’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES YOU PAID DIRECTLY TO ANSAGO DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

19. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ANSAGO LLC and its owners, officers, directors, employees, affiliates, contractors, and agents from claims, demands, actions, losses, damages, judgments, liabilities, penalties, fines, costs, and reasonable expenses arising out of or relating to:

20. Taxes and Regulatory Compliance

Users are responsible for determining and satisfying taxes, licenses, permits, reporting requirements, regulatory obligations, and other legal requirements arising from their transactions unless applicable law specifically requires ANSAGO to collect, report, or remit an amount.

21. Suspension and Termination

ANSAGO may remove listings, restrict Platform functionality, suspend accounts, or terminate accounts when reasonably necessary to enforce these Terms, protect users or ANSAGO, prevent fraud or misuse, comply with law, or address security or operational concerns.
Termination does not eliminate obligations or liabilities arising before termination.

22. Platform Availability and Changes

ANSAGO may modify, suspend, discontinue, add, or remove Platform features at any time.
We do not guarantee uninterrupted access or that every feature will remain available.

23. Third-Party Services and Links

The Platform may contain links to or integrations with third-party websites and services.
ANSAGO does not control and is not responsible for third-party services, content, privacy practices, products, or actions. Your use of third-party services may be subject to separate terms.

24. Changes to These Terms

ANSAGO may update these Terms from time to time.
When required or appropriate, we may notify users of material changes through the Platform, by email, or through another reasonable method.
The effective date displayed at the beginning of these Terms identifies the latest revision.
Continued use of the Platform after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.

25. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Unless applicable law requires otherwise, disputes arising from these Terms or use of the Platform shall be brought in a court of competent jurisdiction located in Grayson County, Texas, and you consent to jurisdiction and venue in those courts.

26. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

27. No Waiver

ANSAGO’s failure to enforce any provision of these Terms does not waive its right to enforce that provision or any other provision in the future.

28. Entire Agreement

These Terms, together with the Privacy Policy, Marketplace Policies, and any additional terms applicable to specific ANSAGO services, constitute the agreement between you and ANSAGO concerning your use of the Platform.
